User agrees to the terms and conditions set out below.
By accessing or using the LINERLYTICA website and/or any LINERLYTICA reports, database, publications, data feeds, or related services (together, the "LINERLYTICA Products"), the User agrees to be bound by these terms and conditions.
LINERLYTICA Products are provided and operated by Liner Analytics PTE. LTD., with its head office in Singapore, and by Linerlytica HK Limited, which conducts operations in Hong Kong (together, "Linerlytica").
Linerlytica owns, or is licensed or otherwise authorised to use, all rights, title, and interest in and to the LINERLYTICA Products, including the related logos, trademarks, distinctive signs, and software (together, the "LINERLYTICA Properties"). Any upgrades, modifications, enhancements, or developments relating to the LINERLYTICA Products, including those arising from suggestions, feedback, or information provided by any User, shall vest in and remain the property of Linerlytica.
Any copying, reproduction, republication, transmission, distribution, display, or other use of the LINERLYTICA Products or LINERLYTICA Properties, in whole or in part and by any means whatsoever, without LINERLYTICA's prior written authorisation, is prohibited, constitutes a breach of these Terms, and may infringe copyright or other intellectual property rights.
Except as expressly permitted under these Terms or otherwise agreed in writing by Linerlytica, the publication or other public dissemination of facts or figures derived from the LINERLYTICA Products is prohibited. Where any permitted use refers to such facts or figures, LINERLYTICA must be clearly identified as the source in any presentation, press article, online publication, or other media.
By accessing the LINERLYTICA Products, the User acknowledges that the data and contents comprising the LINERLYTICA Products are legally protected. Except as expressly permitted under these Terms or with LINERLYTICA's prior written authorisation, the User shall not extract, reuse, store, reproduce, redistribute, display, disclose, or otherwise retain, whether directly or indirectly and whether on a temporary or permanent basis, all or any part of the LINERLYTICA Products, whether or not qualitatively or quantitatively substantial.
Notwithstanding the restrictions above, and subject to payment of the applicable fees set out on the subscription page of the Linerlytica website or otherwise agreed with Linerlytica, a User may:
continue to use, without restriction, any information or data that the User has itself contributed to the LINERLYTICA Products; and
access, extract, store, reproduce, and use information or data from the LINERLYTICA Products solely for the User's own internal research and internal business purposes in the ordinary course of its business,
provided that the User does not publicly redistribute, publish, resell, sublicence, commercialise, or otherwise make such information or data available to any third party, and always identifies LINERLYTICA as the source where any permitted use refers to such information or data.
Web scraping, bulk downloading, crawling, or other automated collection of information or data comprising the LINERLYTICA Products by any system, bot, robot, script, or machine is strictly prohibited unless expressly authorised in writing by Linerlytica.
Any permitted automated access to or use of the LINERLYTICA Products shall require Linerlytica's prior written approval and, where applicable, shall be subject to a separate API or other access agreement.
LINERLYTICA does not claim ownership of, and is not responsible for, any software, content, or materials made available through third-party websites that may be linked to or referenced in the LINERLYTICA Products. Users shall comply with all applicable third-party rights and shall not infringe any intellectual property or other rights of the owners or operators of such third-party websites or content.
LINERLYTICA Products do not constitute legal, financial, investment, or other professional advice.
Although LINERLYTICA uses reasonable efforts to ensure that the information provided through the LINERLYTICA Products is as accurate as practicable, such information is provided in good faith for general guidance only and without any guarantee as to its accuracy, completeness, timeliness, or fitness for any particular purpose. LINERLYTICA may make changes, updates, corrections, suspensions, or discontinuances to any part of the LINERLYTICA Products at any time without notice.
The User acknowledges and agrees that:
LINERLYTICA shall not be liable for any loss or damage arising from any reliance placed on the information or data provided through the LINERLYTICA Products.
The information available in the LINERLYTICA Products is provided on an "as is" and "as available" basis for general guidance only. LINERLYTICA accepts no responsibility for any inaccuracies, omissions, delays, or errors in such information, and any decision based on the LINERLYTICA Products is made solely at the User's own risk.
Notwithstanding any other provision in these Terms, the total aggregate liability of Linerlytica to any User arising out of or in connection with the subscription, access to, use of, or inability to use the LINERLYTICA Products or related services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total annual subscription fees actually paid by that User to Linerlytica for the relevant subscription period.
To the fullest extent permitted by applicable law, Linerlytica disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, or uninterrupted access.
In no event shall Linerlytica be liable for any indirect, incidental, special, exemplary, punitive, or consequential loss or damage, or for any loss of profit, revenue, business, contracts, anticipated savings, goodwill, use, or data, even if advised of the possibility of such loss or damage.
Linerlytica reserves the right, at its sole discretion, to modify, update, or revise these Terms at any time. Any such changes shall take effect when the amended Terms are posted on the Linerlytica website or otherwise notified to the User. Continued access to or use of the LINERLYTICA Products after such changes take effect constitutes acceptance of the amended Terms.
Subscription fees are payable in advance for the agreed subscription period and, except as expressly stated in these Terms or otherwise agreed in writing by Linerlytica, are non-refundable if the Subscriber elects to terminate this Agreement or otherwise ceases to use the LINERLYTICA Products during the subscription period.
However, if Linerlytica terminates this Agreement other than as a result of the Subscriber's breach of these Terms, the Subscriber will be entitled to a pro rata refund of the subscription fee for the unused remainder of the access period to the LINERLYTICA Products, less any applicable bank transfer fees.
Renewal is not automatic and will be subject to the Subscriber's agreement and payment of the applicable subscription fee before the expiry of the subscription period.
These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by the laws of the jurisdiction of the relevant Linerlytica contracting entity. Where the relevant contracting entity is Liner Analytics PTE. LTD., the laws of Singapore shall apply and the courts of Singapore shall have exclusive jurisdiction. Where the relevant contracting entity is Linerlytica HK Limited, the laws of the Hong Kong Special Administrative Region shall apply and the courts of Hong Kong shall have exclusive jurisdiction. Nothing in this clause prevents Linerlytica from seeking injunctive or other interim relief in any court of competent jurisdiction.
